1. Provider and agreement
TapLoyal is provided by TAPLOYAL TEKNOLOJİ YAZILIM VE DIŞ TİCARET LİMİTED ŞİRKETİ ("TapLoyal", "we", "us"), registered with the Istanbul Chamber of Commerce under registry number 1149208, with registered office at Şahintepe Mah. Şehit Polis Fethi Sekin Cad. İGTOT (İstanbul Gıda Toptancılar Çarşısı) 11A Blok No: 1 T İç Kapı No: Z29, Başakşehir/İstanbul, Türkiye. These Terms form an agreement between TapLoyal and the business or other legal person that creates or uses a merchant account ("Merchant").
The person accepting these Terms confirms that they are legally able to act for the Merchant. If that authority ends, the Merchant must promptly update account access.
TapLoyal is offered for business and professional use as a B2B service. If mandatory law nevertheless classifies a particular user or transaction differently, these Terms do not restrict statutory rights that cannot be waived.
2. The service
TapLoyal is a software service for creating and operating digital loyalty programs, customer joining experiences, merchant locations, rewards, campaigns, staff access, and related operational reporting. Available functions depend on the active plan and product configuration.
TapLoyal does not promise that every feature will be available in every country, plan, device, or integration. The checkout and pricing screens show the commercial details for the selected purchase at the time the order is placed.
3. Accounts and authorized users
The Merchant must provide accurate account and business information, protect credentials and authentication factors, and maintain appropriate access for owners and staff. Accounts may not be shared with people who are not authorized to act for the Merchant.
The Merchant is responsible for activity performed through its account unless it promptly reports suspected unauthorized access and the activity results from circumstances outside its reasonable control.
4. Merchant responsibilities
The Merchant decides how its loyalty program, rewards, campaigns, customer communications, and staff workflows are used. It is responsible for the accuracy and legality of those activities and for obtaining notices, permissions, or consents required for its customers and staff.
- Use the service only for lawful business purposes and in a way that does not mislead customers.
- Publish clear reward rules and honor valid rewards and benefits offered through the Merchant's program.
- Do not upload unlawful, infringing, malicious, or unnecessarily sensitive content.
- Do not bypass access controls, probe the service, interfere with other users, or use automated means that place unreasonable load on the service.
- Keep business, location, contact, staff, and billing information current.
5. Plans, payment, and renewal
Paid plans are offered in Turkish lira with monthly or yearly billing intervals. The selected plan, interval, amount, taxes or other charges if shown, and payment authorization are presented before the order is submitted.
Where PayTR checkout is made available, payments are processed through PayTR. Subscription activation follows a verified provider callback, not a browser return page alone. Renewal occurs only where the Merchant has separately authorized recurring payment. 6. Merchant content and customer data
The Merchant retains its rights in content it provides. It permits TapLoyal to host, reproduce, adapt for technical presentation, and otherwise process that content only as needed to operate, secure, support, and improve the contracted service.
When TapLoyal processes loyalty-customer data on the Merchant's instructions, the Merchant remains responsible for establishing an appropriate legal basis and responding to its customers where it acts as data controller. TapLoyal's own processing is described in the Privacy Notice.
7. Third-party services
Some functions depend on third-party services, including PayTR payment services and Google identity, maps, places, or font resources. A third party's own terms and availability may apply to the part of the service it provides. TapLoyal remains responsible for its obligations under this agreement and does not expand a third party's obligations.
8. TapLoyal technology and intellectual property
TapLoyal and its licensors retain rights in the service, software, visual system, documentation, trademarks, and underlying technology. Subject to these Terms and payment of applicable charges, the Merchant receives a limited, non-exclusive, non-transferable right to use the service for its internal business operations during the subscription term.
Feedback may be used to improve the service without transferring the Merchant's confidential information or personal data outside the purposes described in the Privacy Notice.
9. Availability and changes
TapLoyal may maintain, secure, update, or change the service. We aim to communicate material changes that adversely affect an active paid plan through an appropriate channel. Temporary interruption can occur because of maintenance, security events, provider outages, network conditions, or circumstances outside reasonable control.
10. Suspension and termination
Access may be restricted or suspended where reasonably necessary to address a security threat, unlawful use, material breach, or an unpaid subscription. Where circumstances allow, TapLoyal will provide notice and an opportunity to address the issue before a material restriction.
The Merchant may cancel a paid subscription as described in the Cancellation and Refund Policy. Cancellation normally prevents the next renewal and leaves access active until the end of the paid term. Obligations that by their nature must continue, including payment obligations already incurred, confidentiality, data protection, and intellectual-property provisions, survive termination.
11. Responsibility and mandatory rights
Each party is responsible for losses it causes through breach of this agreement or applicable law. To the extent permitted by applicable law, neither party is responsible for indirect or consequential loss that was not reasonably foreseeable when the agreement was made.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or restricted, or removes any mandatory right that applies to the Merchant. Any issue is assessed in light of the facts, the selected plan, and applicable mandatory law.
12. Changes, notices, and contact
These Terms may be updated when the service, commercial model, providers, or legal requirements change. The current version and effective date will be published here. If a change materially affects an existing paid subscription, an additional notice or renewed acceptance will be requested where required.
